Experience
Peter Darrow serves as co-head of the firm's Latin American
practice, and is a practice leader for the banking and finance
practice in the New York office. He is a highly experienced
finance and securities attorney who focuses on capital markets
financing, acquisition and leveraged financing, structured
financing, project and infrastructure financing, debt
restructuring and private equity, particularly in Latin
America and other emerging markets. Peter's experience
includes:
Capital Markets: represents issuers, underwriters and
placement agents in cross-border securities offerings,
including high-yield bonds, medium-term notes and private
placements, and registered offerings and Rule 144A offerings
by foreign companies of equity securities (including American
Depositary Receipts). Advises foreign companies concerning
their compliance and reporting obligations under the US
federal securities laws.
Financing: represents institutional lenders and
borrowers in syndicated bank financings, including leveraged
acquisition financings and structured financings.
Debt Restructuring: advises borrowers,
bondholders and financial advisors in complex debt
restructurings and liability management transactions in
emerging markets, including exchange offers, debt self-tenders
and consent solicitations, and negotiated workouts with
institutional lenders and bondholder committees.
Private Equity: advises hedge funds and corporate
clients with regard to private equity investments and joint
ventures.
Peter has been a leader in establishing and developing the
firm's Latin American and Caribbean capital markets practice,
starting in 1990. According to Chambers Latin America
2009, Peter is "an extremely smart guy who's always a
pleasure to work with." Chambers Banking and Finance
in Latin America 2009 describes Peter as "the
standout partner for debt capital markets in Brazil and
Mexico." Peter is also listed in the Guide to the
World's Leading Capital Market Lawyers. Since 2005,
he has served as Chairman of The Cambodia Trust, which is the
leading provider of medical relief and rehabilitation support
for landmine victims in Cambodia, and is a pro bono client of
Mayer Brown.
